1、PPRCHASINGAGREEMENTPURCHASINGAGREEMENTThisManufacturingandSalesAgreement(”Agreement”)ismadeandenteredintoFeb.,2004(the“EffectiveDate”)byandbetweenXXTechnologySdn.Bhd.,aMalaysiacorporationwithitsprincipalplaceofbusinesslocatedatB-6-12,BlockB,PlazaMont’Kiara,2,JalanKiara,Mont’Kiara,50480KualaLumpur
2、,Malaysia("XX")andXXXEuropeS.A.,aSwitzerlandcorporationwithitsprincipalplaceofbusinessatMoulinduChouD,CH-1122,ROMANEL-SUR-MORGES,Switzerland.(“XXX”).RECITALSA.WhereasXXdesirestomanufactureandsell,andXXXdesirestopurchasecertainproducts,OM2(SensorModule)underthetermsandconditionsofthisAgreement;B.W
3、hereasXXXagreedtopurchaseoftheagreedpartsintheagreedpriceandquantitylevelatleast1yearsfromthestartofmanufacturingofthefirstphase,unlesstheXXfailstomeetthequalitylevelrequirementofXXX;andC.WhereasXXXandXXagreedtocooperatetogetherformutualinterestandwillstrivetohonorthetermsandconditionsofthisAgree
4、ment.Therefore,XXXandXXagreeasfollows:AGREEMENTS1.Definitions;Interpretation.1.1.Definitions.InthisAgreement,includingtheSchedulesandExhibitshereto,thefollowingtermshavethefollowingmeanings:(a)“Affiliate”meansanyentity,whichiscontrolledby,controlsorisundercommoncontrolofapartytothisAgreement.Fort
5、hispurpose,theword"control"meansthedirectorindirectownershipofmorethanfifty(50%)percentofthevotingequityofsuchentity(or,inthecaseofanentitythatisnotacorporation,fortheelectionofthecorrespondingmanagingauthority).(b)“IntellectualPropertyRights”meansallinventions,patentsandpatentapplications(includ
6、ingreissues,divisions,continuations,continuations-in-part),tradesecrets,know-how,drawings,copyrights,mask-workandotherintellectualpropertyrights,whetherornotfiled,perfected,registeredorrecorded,andwhethernoworhereafterexisting,filedissuedoracquired.(c)“XXX”meansXXXEuropeS.A.togetherwith,wherethec
7、ontextrequires,itsAffiliates.(d)“Parts”meanstheproductsdescribedintheattachedExhibitA.SuchExhibitmaybeamendedinwritingfromtotimebymutualagreementoftheparties,andanyotherpartsaddedtosuchExhibitshallbeincludedinthedefini
