3、s,beingoftheopinionthattheadoptionofuniformruleswhichgoverncontractsfortheinternationalsaleofgoodsandtakeintoaccountthedifferentsocial,economicandlegalsystemswouldcontributetotheremovaloflegalbarriersininternationaltradeandpromotethedevelopmentofintern
4、ationaltrade,havedecreedasfollows:partisphereofapplicationandgeneralprovisions59partiiformationofthecontractpartiiisaleofgoodspartivfinalprovisionspartisphereofapplicationandgeneralprovisionschapterisphereofapplicationarticle1(1)thisconventionappliesto
5、contractsofsaleofgoodsbetweenpartieswhoseplacesofbusinessareindifferentstates:(a)whenthestatesarecontractingstates;or(b)whentherulesofprivateinternationallawleadtotheapplicationofthelawofacontractingstate.(2)thefactthatthepartieshavetheirplacesofbusine
6、ssindifferentstatesistobedisregardedwheneverthisfactdoesnotappeareitherfromthecontractorfromanydealingsbetween,orfrominformationdisclosedby,thepartiesatanytimebeforeorattheconclusionofthecontract.59(3)neitherthenationalityofthepartiesnorthecivilorcomme
7、rcialcharacterofthepartiesorofthecontractistobetakenintoconsiderationindeterminingtheapplicationofthisconvention.article2thisconventiondoesnotapplytosales:(a)ofgoodsboughtforpersonal,familyorhouseholduse,unlesstheseller,atanytimebeforeorattheconclusion
8、ofthecontract,neitherknewnoroughttohaveknownthatthegoodswereboughtforanysuchuse;(b)byauction;(c)onexecutionorotherwisebyauthorityoflaw;(d)ofstocks,shares,investmentsecurities,negotiableinstrumentsormoney;(e)ofships,vessels,hovercraftora
