1、cisg_聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售合同公約(中英文對(duì)照)銷(xiāo)售合同篇一：CISG_聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售合同公約(中英文對(duì)照)聯(lián)合國(guó)國(guó)際貨物銷(xiāo)售合同公約UnitedNationsConventionOnContractsForTheInternationalSaleOfGoods，1980（CISG）1980年4月11日訂于維也納本公約各締約國(guó)，銘記聯(lián)合國(guó)大會(huì)第六屆特別會(huì)議通過(guò)的關(guān)于建立新的國(guó)際經(jīng)濟(jì)秩序的各項(xiàng)決議的廣泛目標(biāo)，考慮到在平等互利基礎(chǔ)上發(fā)展國(guó)際貿(mào)易是促進(jìn)各國(guó)間友好關(guān)系的一個(gè)重要因素，認(rèn)為采用照顧到不同的社會(huì)、經(jīng)濟(jì)和法律制度的國(guó)
2、際貨物銷(xiāo)售合同統(tǒng)一規(guī)則，將有助于減少?lài)?guó)際貿(mào)易的法律障礙，促進(jìn)國(guó)際貿(mào)易的發(fā)展，茲協(xié)議如下：THESTATESPARTIESTOTHISCONVENTION,BEARINGINMINDthebroadobjectivesinthe40resolutionsadoptedbythesixthspecialsessionoftheGeneralAssemblyoftheUnitedNationsontheestablishmentofaNewInternationalEconomicOrder,CONSIDERINGthatthed
3、evelopmentofinternationaltradeonthebasisofequalityandmutualbenefitisanimportantelementinpromotingfriendlyrelationsamongStates,BEINGOFTHEOPINIONthattheadoptionofuniformruleswhichgoverncontractsfortheinternationalsaleofgoodsandtakeintoaccountthedifferentsocial,econom
4、icandlegalsystemswouldcontributetotheremovaloflegalbarriersininternationaltradeandpromotethedevelopmentofinternationaltrade,HAVEDECREEDasfollows:第一部分適用范圍和總則PARTI-SphereofApplicationandGeneralProvisions第一章適用范圍ChapterI-SphereofApplication第一條（1）本公約適用于營(yíng)業(yè)地在不同國(guó)家的當(dāng)事人之間所訂立
5、的貨物銷(xiāo)售合同：（a）如果這些國(guó)家是締約國(guó)；或（b）如果國(guó)際私法規(guī)則導(dǎo)致適用某一締約國(guó)的法律。40（2）當(dāng)事人營(yíng)業(yè)地在不同國(guó)家的事實(shí)，如果從合同或從訂立合同前任何時(shí)候或訂立合同時(shí)，當(dāng)事人之間的任何交易或當(dāng)事人透露的情報(bào)均看不出，應(yīng)不予考慮。（3）在確定本公約的適用時(shí)，當(dāng)事人的國(guó)籍和當(dāng)事人或合同的民事或商業(yè)性質(zhì)，應(yīng)不予考慮。Article1(1)ThisConventionappliestocontractsofsaleofgoodsbetweenpartieswhoseplacesofbusinessareindiffere
6、ntStates:(a)whentheStatesareContractingStates;or(b)whentherulesofprivateinternationallawleadtotheapplicationofthelawofaContractingState.(2)ThefactthatthepartieshavetheirplacesofbusinessindifferentStatesistobedisregardedwheneverthisfactdoesnotappeareitherfromthecont
7、ractorfromanydealingsbetween,orfrominformationdisclosedby,thepartiesatanytimebeforeorattheconclusionofthecontract.(3)Neitherthenationalityofthepartiesnorthecivilorcommercialcharacterofthepartiesorofthecontractistobetakenintoconsiderationindeterminingtheapplicationo
8、fthisConvention.本公約不適用于以下的銷(xiāo)售：40（a）購(gòu)供私人、家人或家庭使用的貨物的銷(xiāo)售，除非賣(mài)方在訂立合同前任何時(shí)候或訂立合同時(shí)不知道而且沒(méi)有理由知道這些貨物是購(gòu)供任何這種使用；（b）經(jīng)由拍賣(mài)的銷(xiāo)售；（c）根據(jù)法律執(zhí)行令狀或其它令狀的銷(xiāo)售；（d）公債、股票、投資證券、流通
