4、takeoversactivity.Ibuiltmythesisrelyingoninstitutionalbackground,brieflegislationdescriptionandcomparisonofChineseandRussianexperiencewithwesternM&Apatterns.Iconductedthecasestudyofthetworecentandprominenthostiletakeoverattemptsinbothcountriesandrepresentedthecomparisonofhostiletakeoversmo
5、delsintheconcludingchapter.Itwasconcludedthatmajordifferencesinthetwocountriestakeovermodelscanbedividedintoeconomicandlegalaspects.Accordingtotheconductedcomparison,thecorporateclimateofhostiletakeoversinbothcountriesisundergoingchanges.Thestate’sinvolvementinthecontrolofhostiletakeoverpr
6、ocessismoretangibleintheChinesemodelthanRussian.Concerningattractivenessforinvestors,capitalavailableforentrepreneursandlevelofbusinessenvironmentsecurity,theChinesemodelismorefavorable.Suchfeaturesashighriskoffallingundertakeoverattemptforanykindandscaleofenterprise,legislativeimperfectio
