1、完善內(nèi)部監(jiān)督機制，實現(xiàn)公司內(nèi)部的權(quán)力制衡是現(xiàn)代公司治理結(jié)構(gòu)中急需解決的重要問題之一。近幾年，我國實施了以上市公司為中心的多項制度改革，其屮獨立董事制度是備受矚目的問題Z-O2001年，我國正式引入了獨立董事制度，然而引入獨立董事制度之后，我國上市公司治理是否真的得到了改善？眾所周知，設(shè)計獨立董事制度主要是為了強化董事會的職能，健全公司的法人結(jié)構(gòu)，從本質(zhì)上解決上市公司“一股獨大”的問題，規(guī)范和約束上市公司行為，保護中小股東的利益。但獨立董事制度在引入我國后，又因獨立董事制度自身先天就存在的種種問題，以及所執(zhí)行的各公司的環(huán)境制
2、約，造成了如今獨立董事在公司董事會中既不“獨立”又不“懂事”的局面，在實際中獨立董事制度的發(fā)展現(xiàn)狀與預(yù)期效果存在著很大的差距。論文首先采用規(guī)范研究法對國內(nèi)外關(guān)于獨立董事發(fā)展過程、相關(guān)法律法規(guī)的建立與完善的文獻進行梳理，基于對我國獨立董事制度發(fā)展過程中的問題及原因的理論分析，對我國上市公司履職情況進行比較分析，并據(jù)此提出完善建議。關(guān)鍵詞：上市公司；獨立董事；公司治理AbstractInthemodemcorporategovernancestructure,it'soneofthemostcontentsabouthowto
