1、中文摘要I隨著經(jīng)濟全球化的發(fā)展，進入我國的外國資本逐年劇增，跨國并購已經(jīng)成為國際直接投資的主要方式。在我國，外資并購境內(nèi)企業(yè)的案例也開始大量出現(xiàn)，本文在研究外資并購行為和我國相關立法的基礎上，對基本問題予以界定，并且通過與國外先進立法相比較，指出我國外資并購立法的缺陷和可完善之處。外資并購固然能給一國經(jīng)濟帶來好處，有其獨特的價值，但與此同時也會有負面影響，所以對外資并購行為很有必要予以規(guī)制。外資并購立法可以促進和規(guī)范外國投資者來華投資，引進國外先進技術和管理經(jīng)驗。我國應在積極探索和研究外資并購的基
