2、人負(fù)責(zé)因論文成果不實(shí)產(chǎn)生的法律糾紛。摘要隨著全球經(jīng)濟(jì)一體化的推進(jìn)和我國(guó)經(jīng)濟(jì)的大力發(fā)展,我國(guó)企業(yè)依靠自身優(yōu)勢(shì),走出國(guó)門(mén),實(shí)施積極的跨國(guó)并購(gòu)戰(zhàn)略??鐕?guó)并購(gòu)已經(jīng)成為中國(guó)企業(yè)對(duì)外投資的主要方式。近年來(lái),中國(guó)企業(yè)海外并購(gòu)的數(shù)量日漸增長(zhǎng),規(guī)模日漸擴(kuò)大。我國(guó)企業(yè)在實(shí)踐“走出去”戰(zhàn)略的過(guò)程中,大膽嘗試跨國(guó)并購(gòu),頗有收獲。然而由于中國(guó)企業(yè)缺乏跨國(guó)并購(gòu)與經(jīng)營(yíng)的經(jīng)驗(yàn),在投資戰(zhàn)略、目標(biāo)企業(yè)的選擇與評(píng)估、并購(gòu)后整合等方面都存在一些問(wèn)題,以致大部分的并購(gòu)并不能取得預(yù)期的效果甚至是以失敗告終。本文就我國(guó)企業(yè)跨國(guó)并購(gòu)的現(xiàn)狀及其在跨國(guó)并購(gòu)中所面臨的問(wèn)題進(jìn)行了簡(jiǎn)析,如我國(guó)企
3、業(yè)在跨國(guó)并購(gòu)面臨的諸如政治環(huán)境、法律環(huán)境、經(jīng)濟(jì)環(huán)境,企業(yè)自身能力的欠缺、并購(gòu)準(zhǔn)備工作不足、戰(zhàn)略規(guī)劃不足、整合不力等問(wèn)題。進(jìn)而對(duì)我國(guó)政府和企業(yè)自身應(yīng)從加強(qiáng)政府公關(guān)、拓展融資渠道及簡(jiǎn)化審批手續(xù)、加快建設(shè)中介服務(wù)體系、培育有競(jìng)爭(zhēng)力的并購(gòu)主體、并購(gòu)的戰(zhàn)略規(guī)劃、提高企業(yè)的管理能力、做好法律準(zhǔn)備、加強(qiáng)人才培養(yǎng)、等方面著手找出解決問(wèn)題的對(duì)策進(jìn)行了淺析?!娟P(guān)鍵詞】我國(guó)企業(yè);跨國(guó)并購(gòu);存在的問(wèn)題;對(duì)策AbstractWiththeadvanceofglobaleconomicintegrationanddevelopment,China^scompanie
