1、中文摘要獨(dú)立董事可稱為外部董事或非執(zhí)行董事，是指不在公司擔(dān)任除董事外的其他職務(wù)，并與受聘的公司及其主要股東不存在妨礙其進(jìn)行獨(dú)立客觀判斷關(guān)系的董事。獨(dú)立董事的職責(zé)是按照相關(guān)法律、行政法規(guī)、公司章程規(guī)定，履行職責(zé)，維護(hù)公司整體利益，特別關(guān)注中小股東的合法權(quán)益不受損害。獨(dú)立董事應(yīng)當(dāng)獨(dú)立地履行職責(zé)，不受公司主要股東、實(shí)際控制人或與公司存在利害關(guān)系、可能妨礙對公司事務(wù)的人的影響而進(jìn)行獨(dú)立客觀的判斷。獨(dú)立蕭事在公司治理結(jié)構(gòu)中發(fā)揮著監(jiān)督和平衡的重要作用，然而中國獨(dú)立董事制度存在著人員結(jié)構(gòu)不合理、相關(guān)法律法規(guī)不健全、獨(dú)立董事缺乏獨(dú)立性和積極性等缺陷，這不僅直接阻礙了獨(dú)立蕭事職能
