1、股權(quán)轉(zhuǎn)讓合同書ShareTransferAgreement合同當(dāng)事人各方：Thepartieshereinafterinclude:甲方:PartyA:乙方：Party:鑒于甲方合法擁有在xXX島注冊的XXXX公司(以下簡稱“XX公司”)百分之百的股權(quán)；WhereasPartyAlegallyownsxxx%sharesofxxxInvestmentsVLtd.(''xxx'1),whichisregisteredinthexxxIslands;鑒于XX公司是XX年XX月XX日，于XXX島依法注冊成立，其合法擁有XX有限公司(下稱“公司”)百分百的股權(quán)：Whereasxxx,regis
2、teredinxxxIslandsonxxxx,xx,legallyownsxxx%sharesofxxxBrakingSystem(xxx)Co.,Ltd.(the"Company")；鑒于甲方現(xiàn)有意出讓其XX公司合法擁有的百分之百的股權(quán)，WhereasPartyAintendstosellthelegally-ownedxxx%sharesofxxx鑒于DanaGlobalHoldingsInc.擁有甲方的XX%的股權(quán)且其擁有對XX公司的優(yōu)先購買權(quán)，WhereasPartyAisxx%ownedbyDanaGlobalHoldingsInc.,andtheyhavecertainp
3、re-emptiverightsregardingthetransferofsharesinxxx；鑒于丙方擬受讓甲方在XX公司的全部股權(quán)，現(xiàn)合同各方經(jīng)友好協(xié)-商，本著平等互利的原則，應(yīng)上述股權(quán)轉(zhuǎn)讓事宜達成如下條款：WhereasPartyCintendstobuythewholesharesofxxxheldbyPartyA,adheringtotheprincipalsofequalityandmutualbenefit,thepartieshavereachedthefollowingagreement(the"Agreementjafterfriendlyconsultatio
4、nsregardingthesharetransftermatters:股權(quán)轉(zhuǎn)讓價款A(yù)rticle1PriceofTheShares在公司向乙方或其指定代理人歸還欠款人民幣XXX萬元后，甲方同意按本倆所規(guī)定的條件，將其在XX公司擁有的全部股權(quán)以X美元的價格轉(zhuǎn)讓給丙方，丙方同意以此價格受讓甲方在XX公司擁有的全部股權(quán)；同時乙方也同意將其在公司的剩余債權(quán)以X美元的價格轉(zhuǎn)讓給丙方，丙方同意以此價格受讓乙方在公司剩余的全部債權(quán)。AftertheCompanyrepayxmillionofpayableduetoPartyBoritsdesignedagent,subjecttotheterms

6、llarandPartyCagree第二條保證Article2RepresentationsandWarranties甲方保證本合同第一條轉(zhuǎn)讓給丙方的股權(quán)為其合法擁有，并有完全、有效的處分權(quán)。甲方保證其將在轉(zhuǎn)讓前取得股份轉(zhuǎn)讓所需的認可口轉(zhuǎn)讓的股權(quán)在轉(zhuǎn)讓之時沒有設(shè)置任何抵押權(quán)或其他擔(dān)保權(quán)，并免遭任何第三人的追索。PartyArepresentsandwarrantstoPartyCthatitlegallyownstheSharessubjecttoArticle1,aswellastherighttodealwiththesharesentirelyandeffectively;and
