1、西南交通大學(xué)碩士研究生學(xué)位論文第1頁(yè)摘要企業(yè)治理主體的確定是企業(yè)治理理論的一個(gè)最為基礎(chǔ)性的問(wèn)題,關(guān)系到企業(yè)治理結(jié)構(gòu)的安排,影響到我國(guó)國(guó)有企業(yè)改革、建立現(xiàn)代企業(yè)制度的基本思路。人力資本承載者在企業(yè)治理結(jié)構(gòu)中的地位和作用是近年來(lái)學(xué)術(shù)界、企業(yè)界普遍關(guān)注的問(wèn)題。首先,本文闡述了人力資本理論的發(fā)展過(guò)程,總結(jié)了人力資本的基本概念,界定了人力資本承載者的含義及其理論范圍,簡(jiǎn)要介紹了企業(yè)治理結(jié)構(gòu)與治理權(quán)配置的理論發(fā)展。通過(guò)人力資本產(chǎn)權(quán)特征的分析,為研究人力資本承載者參與企業(yè)治理權(quán)配置奠定理論基礎(chǔ)。其次,本文從委托一代理理論、激勵(lì)機(jī)制理論、心理帳戶理論角度,探討了人力資本承載者分享企業(yè)內(nèi)部治理權(quán)的主要途徑,
2、即擁有企業(yè)股份從而獲得“用手投票”的權(quán)力的理論基礎(chǔ)。再次,本文對(duì)發(fā)達(dá)市場(chǎng)國(guó)家股票、股權(quán)激勵(lì)機(jī)制進(jìn)行分析,為我國(guó)國(guó)企改革中,人力資本承載者參與企業(yè)治理權(quán)配置的方式提供參考。最后,本文分析了國(guó)有企業(yè)人力資本產(chǎn)權(quán)的具體特點(diǎn),提出人力資本股權(quán)激勵(lì)優(yōu)化設(shè)計(jì)的原則,并以動(dòng)態(tài)股權(quán)制為例,探討了股權(quán)激勵(lì)優(yōu)化設(shè)計(jì)的思路。關(guān)鍵詞:人力資本人力資本承載者企業(yè)治理權(quán)股權(quán)激勵(lì)西南交通大學(xué)碩士研究生學(xué)位論文第1I頁(yè)AbstractTheconfirmationofcorporategovernanceparticipantsisthemostfundamentaltopicofcorporategovernancet

5、nsetsupthetheoreticalfoundationoftheparticipationofcorporategovernancerightsdeployment.Second,bytheanalysisofproxy—agenttheory,motivationmechanismtheory,mentalaccounttheory,thisdissertationsetupthetheoreticalfoundationofthemethods,throughwhichcarriersofhumancapitalshareinteriorcorporategovernancer
6、ights,i.e.ownenterprisestockstogaintherightsof‘'votebyhand”.Third,thjsdissertationanalyzesdifferenttypesofstock,stockoptionmotivationmechanismexperiencedbydevelopedmarketcountries,whichgivessomesuggeststothemodesofcorporategovernancerightsdeploymentsharedbycarriersofhumancapitalduringthereformofst
7、ate-ownedenterprises.Last,bytheanalysisofconcretecharactersofhumancapitapropertyrightsofstate-ownedenterprises,thisdissertationgivestheprincipalsofoptimizationofstockoptionmotivationmechanism.Accordingtothedynami
